Terms of Service

1. Agreement to Terms

By accessing or using Pixelate Nest® services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Pixelate Nest provides creative digital services including but not limited to:

• Web Development and Design
• Mobile App Development
• Software Development
• Video Editing and Production
• Digital Marketing Services
• Branding and Creative Consulting

3. User Responsibilities

3.1 Account Registration

You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Prohibited Activities

You agree not to:

• Use our Services for any illegal purpose
• Infringe on intellectual property rights
• Transmit malicious code or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Impersonate any person or entity
• Collect or harvest information from our Services

4. Project Engagement and Deliverables

4.1 Project Scope

Each project engagement will be defined by a separate agreement or proposal that outlines the scope, timeline, deliverables, and pricing. These project-specific terms supplement and are governed by these general Terms of Service.

4.2 Client Responsibilities

Clients agree to:

• Provide necessary materials and information in a timely manner
• Review and approve deliverables within agreed timeframes
• Communicate feedback clearly and constructively
• Make timely payments as per the agreed schedule

4.3 Revisions and Changes

The number of revisions included in each project will be specified in the project agreement. Additional revisions beyond the agreed scope may incur additional charges.

5. Payment Terms

5.1 Pricing

All prices are quoted in the currency specified in the project proposal and are subject to the payment schedule outlined therein.

5.2 Payment Schedule

Unless otherwise specified, our standard payment schedule is:

• 50% upfront deposit to initiate the project
• 50% upon project completion and before final delivery

5.3 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.

5.4 Refunds

Due to the custom nature of our work, deposits are generally non-refundable once work has commenced. Refund requests will be evaluated on a case-by-case basis.

6. Intellectual Property

6.1 Client-Owned Content

Clients retain all rights to materials provided to us (text, images, logos, etc.). Clients grant us a license to use these materials solely for the purpose of completing the agreed project.

6.2 Work Product

Upon full payment, clients receive ownership of the final deliverables created specifically for them. However, we retain rights to:

• Pre-existing materials and code libraries
• Generalized techniques and methodologies
• Display the work in our portfolio

6.3 Third-Party Materials

Any third-party materials (stock photos, fonts, plugins) used in projects are subject to their respective licenses. Clients are responsible for obtaining necessary licenses for ongoing use.

7. Confidentiality

We respect the confidentiality of client information and will not disclose proprietary information to third parties without consent, except as required by law. We may use anonymized case studies for marketing purposes unless otherwise agreed in writing.

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

• Services will be performed in a professional manner
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the Services

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXELATE NEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

10. Termination

Either party may terminate a project engagement for convenience with written notice. Upon termination:

• Client shall pay for work completed to date
• We will deliver work-in-progress upon payment
• Confidentiality obligations continue

We may terminate immediately for breach of these Terms or non-payment.

11. Indemnification

You agree to indemnify and hold Pixelate Nest harmless from any claims, damages, losses, or expenses arising from your use of our Services, violation of these Terms, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with Indian arbitration law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Pixelate Nest regarding the use of our Services.
